Terms of Service

These Terms of Service (“Terms”) govern your use of MarathonBooks™, a product of BrightCube Software LLC (“we,” “us,” or “our”). By creating an account, you agree to these Terms.
1. Acceptance of Terms
By creating an account and using MarathonBooks (the “Service”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
MarathonBooks is a financial management platform that helps you:
- Track business transactions and financial records
- Categorize income and expenses with AI assistance
- Generate journal entries and financial reports
- Store receipts, documents, and other attachments
- Create and send invoices to customers
- Accept payments from customers via Stripe
- Connect bank accounts to automatically import transactions
- Communicate with customers via SMS, Instagram DM, WhatsApp, and web chat
- Track business assets and depreciation
- Set up recurring journal entries
- Export financial data to CSV or Google Sheets
- Access the Service programmatically via the Developer API
3. SMS Messaging Service
We offer an optional SMS-based bookkeeping assistant. By opting in, you can text our number to capture expenses, record income, check balances, manage invoices, and receive reports.
Opt-In
You opt in to the SMS service by adding your phone number in your account Settings and accepting the SMS consent. You must be the account holder or an authorized user to opt in.
Opt-Out
You can opt out at any time by replying STOP to any message from us. After opting out, you will receive one final confirmation message. You can re-subscribe by replying START.

Message Frequency & Rates
- Message frequency varies based on your usage.
- Message and data rates may apply. Contact your carrier for details.
- Supported carriers include major US carriers. Carriers are not liable for delayed or undelivered messages.
SMS Disclaimers
The SMS service is provided for convenience. We are not responsible for messages that are delayed, lost, or undelivered due to carrier issues or device compatibility. The SMS service is subject to the same disclaimers and limitations as the rest of the Service described in these Terms.
4. Payments and Billing
Subscriptions
Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:
- Billing is processed by Stripe. By subscribing, you agree to Stripe's terms of service.
- Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
- You can cancel your subscription at any time through the Settings page. Cancellation takes effect at the end of the current billing period.
- We do not offer prorated refunds for partial billing periods unless required by law.
- We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the start of your next billing period.
Invoice Payments
If you use MarathonBooks to send invoices and accept payments from your customers, payments are processed by Stripe via Stripe Connect. You are responsible for:
- Agreeing to Stripe's Connected Account terms
- The accuracy of invoice amounts and descriptions
- Any disputes or chargebacks initiated by your customers
- Applicable taxes related to your invoiced services
5. Bank Account Connectivity
If you connect a bank account through the Service, you do so through Plaid, a third-party bank data provider. By connecting a bank account:
- You authorize Plaid to access your bank account information on your behalf
- You agree to Plaid's End User Privacy Policy
- You understand that transaction data will be automatically synced to your MarathonBooks account
- You can disconnect your bank account at any time through the Bank Feeds settings
We are not responsible for the accuracy, completeness, or timeliness of data provided by your financial institution through Plaid. You are responsible for reviewing imported transactions.
6. Your Data and Ownership
You own your data. All financial information, transactions, notes, documents, and customer records you create or upload remain your property.
By using the Service, you grant us a limited license to:
- Store and process your data to provide the Service
- Use AI to analyze transactions and generate suggestions
- Transmit data to third-party providers as described in our Privacy Policy
- Create backups for disaster recovery
- Improve the Service's functionality
We will never sell your data or use it for purposes beyond providing and improving the Service.
7. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring the accuracy of information you enter
- Reviewing and approving all AI suggestions before posting to your ledger
- Complying with applicable tax and accounting regulations
- Securing your API keys and preventing unauthorized access
8. AI Suggestions and Disclaimers
This Service is NOT Professional Advice
MarathonBooks is a bookkeeping tool only. It does not provide tax, legal, or accounting advice. You should consult with qualified professionals for such advice.
AI Suggestions May Be Incorrect
This Service uses artificial intelligence to suggest transaction categorizations, draft journal entries, and generate responses to messages. AI-generated output is advisory only and may contain errors.
You are responsible for:
- Reviewing all AI suggestions before use
- Verifying the accuracy of categorizations and journal entries
- Approving or rejecting AI output
- Ensuring your financial records are correct
We make no guarantees regarding the accuracy, completeness, or tax-correctness of AI suggestions.
9. Customer Communication
If you enable AI-powered communication channels (SMS, Instagram DM, WhatsApp, web chat), MarathonBooks may send automated responses to your customers on your behalf. You acknowledge that:
- You are the controller of your customers' data and are responsible for informing them about how their data is processed
- AI-generated messages sent to your customers are sent on your behalf and under your responsibility
- We are not liable for the content, accuracy, or appropriateness of AI-generated messages sent to your customers
- You are responsible for complying with applicable messaging laws and regulations (including obtaining necessary consent from message recipients)
- You can disable AI auto-reply or take over conversations manually at any time
10. Document Storage and Sharing
The Service provides document storage and optional public sharing. If you create a public sharing link for a document:
- Anyone with the link (and password, if set) can access the document
- You are responsible for ensuring you have the right to share the document
- You are responsible for revoking access when it is no longer needed
- We are not liable for unauthorized access to documents you choose to share
11. Developer API
If you use the MarathonBooks API to access the Service programmatically:
- You are responsible for securing your API keys and preventing unauthorized use
- API keys provide access to your business data and should be treated as sensitive credentials
- You must not exceed reasonable usage limits; we reserve the right to throttle or suspend access for excessive use
- If you build applications that use the API to process third-party data, you are responsible for complying with applicable privacy laws and obtaining necessary consents
- We may update the API with reasonable notice; you are responsible for updating your integrations
12. No Guarantees
We provide the Service “as is” without warranties of any kind, including but not limited to:
- Accuracy of calculations or reports
- Tax compliance or correctness
- Accuracy or completeness of bank-imported transactions
- Delivery or accuracy of AI-generated messages
- Uninterrupted or error-free operation
- Fitness for any particular purpose
You use the Service at your own risk and are solely responsible for the accuracy of your financial records.
13. Limitation of Liability
To the maximum extent permitted by law, BrightCube Software LLC shall not be liable for:
- Any indirect, incidental, or consequential damages
- Lost profits, data loss, or business interruption
- Errors in AI suggestions, financial calculations, or automated messages
- Tax penalties or accounting errors resulting from use of the Service
- Actions taken by third-party services (Stripe, Plaid, Twilio, etc.)
- Inaccurate or missing bank transaction data
- Unauthorized access resulting from your failure to secure your credentials or API keys
Our total liability to you for any claims shall not exceed the amount you paid us in the past 12 months (or $100 if you have not paid us).
14. Your Responsibilities
You agree NOT to:
- Use the Service for illegal purposes
- Attempt to hack, compromise, or interfere with the Service
- Share your account with unauthorized users
- Upload malware, viruses, or harmful code
- Use the API to scrape, resell, or redistribute data without authorization
- Send spam, unsolicited messages, or harassing content through the communication features
- Violate any applicable laws or regulations
15. Account Termination
You May Terminate
You may delete your account at any time through the Settings page. Upon deletion:
- Your access to the Service will be revoked
- All bank feeds will be disconnected
- All messaging integrations will be deactivated
- Your data will be permanently deleted within 30 days
- Active subscriptions will be cancelled
- This action cannot be undone
We May Terminate
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You engage in abusive or fraudulent behavior
- You use the communication features to send spam or harassing content
- Required by law
We will provide reasonable notice unless immediate termination is necessary.
16. Multi-User Businesses
If you add team members or bookkeepers to your business:
- You are responsible for managing their access and permissions
- You grant them access to your business data according to the permissions you set
- You are responsible for their actions within your business account
- Team members may access your business data, financial records, customer information, and communication history based on their assigned permissions
17. Data Export and Portability
You can export your data at any time using the app's export features, including CSV download and Google Sheets export. We do not lock you into our platform.
18. Changes to These Terms
We may update these Terms from time to time. When we do:
- We will update the “Effective Date” and version number at the top of these Terms
- Significant changes will be communicated via email or in-app notification
- Continued use of the Service after changes constitutes acceptance of the updated Terms
19. Governing Law
These Terms are governed by the laws of the State of Nevada and the United States, without regard to conflict of law principles.
Any disputes shall be resolved in the state or federal courts located in Nevada.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BrightCube Software LLC regarding the use of the Service.
